英文契約書における優先関係文例サンプル

契約書やその他の間で矛盾抵触が生じる場合、新しい方（場合によっては古い方）を優先させるための規定例です。
※同じ契約書で、異なる条文どうしに用いることはできません。そのようなことをすると、契約書の解釈に混乱が生じます。

• The terms and conditions printed on this XX take precedence over any alternative terms and conditions in any other document connected with this transaction unless such alternative terms and conditions are expressly incorporated by reference on the face of this XX.
• If any conflict arises between (i) the terms and conditions of this Agreement and (ii) those of Exhibit A, the latter shall prevail.
• When the terms and conditions of an individual contract are inconsistent with the provisions of this agreement, the terms and conditions of an individual contract shall prevail.
